Pursuant to the provisions of Title 40 Chapter 48B of the Revised
Statutes of New Jersey; there is hereby created a public body corporate
and politic under the name and style of "The Fort Dix Area Joint Meeting."

The Fort Dix Area Joint Meeting is a municipal joint meeting
as particularly contemplated and provided for in Section 2.1, Chapter
48B, of Title 40 and shall have and exercise all the powers and perform
all the duties provided for by said Law and shall constitute an agency
and instrumentality of two (2) of the municipalities in the Fort Dix
region, specifically: the Township of Plumsted, Ocean County, and
the Township of New Hanover, Burlington County.

A copy of this chapter duly certified by the Township Clerk
shall be filed in the Office of the Commissioner of Community Affairs.
Upon proof of such filing a certified copy of said chapter, the Fort
Dix Area Joint Meeting shall in any suit, action, or proceeding involving
the validity or enforcement of or relating to, any contract or obligation
or act of the Joint Meeting, be conclusively deemed to have been lawfully
and properly created, organized and established and authorized to
transact business and exercise its powers pursuant to Title 40 Chapter
48B of the Revised Statutes.

After the taking effect of the chapter creating said Joint Meeting and the filing of a certified copy thereof as provided in Section
19A-3 hereof, three (3) persons shall be appointed as members of the Fort Dix Area Joint Meeting Management Committee. The Management Committee shall consist of one (1) member appointed by the governing body of each of the member municipalities. The third member and the alternate member shall be appointed by the selection of the two (2) members of the Management Committee. The members of the joint contract agree that the third member and the alternate member shall alternate between a resident of Plumsted Township and New Hanover Township on successive years. In any given year the alternate member and the third member may not be residents of the same municipality. Said members of the Management Committee shall be residents of the appointing local unit. Such appointee may or may not be a member of the appointing governing body. Each member of the Management Committee shall hold office for the term of one (1) year and until his or her successor has been appointed and qualified.

In the event of a vacancy in the membership of the Authority
occurring during an unexpired term of office, a person shall be appointed
as a member of the Authority to serve for such unexpired term by the
governing body or the joint selection process that made the original
appointment for such unexpired term. Each member shall hold office
for the term for which he was appointed and until his successor has
been appointed and has qualified.

The Management Committee shall elect annually from among its
members a Chairman to preside over its meetings. The Management Committee
may appoint such other officers and employees, including counsel,
who need not be members of the Management Committee or members of
the governing bodies or employees or residents of the local units.
The Management Committee shall adopt rules and regulations to provide
for the conduct of its meetings and the duties and powers of the Chairman
and such other officers and employees as may be appointed. All actions
of the Management Committee shall be by vote of the majority of the
entire membership of the Committee, except for those matters for which
the contract requires a greater number, and shall be binding on all
local units who have executed the joint contract. The Management Committee
shall exercise all of the powers of the Joint Meeting subject to the
provisions of the joint contract. No member, officer or employee of
the Joint Meeting shall have or acquire any interest, direct or indirect,
in the assets of the Joint Meeting or in any property included or
planned to be included in the Joint Meeting or in any contract or
proposed contract for materials or services to be furnished to or
be used by the Joint Meeting, but neither the holding of any office
or employment in the government of any County or municipality or under
any law of the State, nor the owning of any property within the State,
shall be deemed a disqualification for membership in or employment
by the Joint Meeting.

Members of the Fort Dix Area Joint Meeting shall receive no
compensation for services except upon vouchers duly presented to and
approved by the Management Committee, members shall be reimbursed
for necessary expenses incurred in the discharge of their duties.
Notwithstanding the provisions of this section, members of the Management
Committee may receive compensation for their services as may be determined
hereafter by any parallel ordinances of Plumsted Township and New
Hanover Township amendatory hereof.

Upon the initial appointment of the members of the Management
Committee, and thereafter, on or after February 1st of each year,
shall annually elect from among its members a Chairman and a Vice
Chairman, who shall hold office until February 1st next ensuing and
until their respective successors have been appointed and have qualified.
The Management Committee may also appoint and employ such agents and
employees as it may require and may determine their duties and compensation
without regard to the provisions of Title 11 of the Revised Statutes,
including but not limited to a Secretary, an Executive Director, managerial
and staff personnel, technical advisors and experts, professional
employees, and persons who shall render professional services as set
forth in N.J.S.A. 40A:11-5.

A copy of the resolution appointing any member of the said Joint
Meeting duly certified by the Township Clerk of the local unit appointing
the same, may be filed in the Office of the Commissioner of Community
Affairs. A copy of such certified resolution, duly certified by or
on behalf of the Commissioner of Community Affairs, shall be admissible
in evidence in any suit, action or proceeding and except in a suit,
action or proceeding directly questioning such appointment, shall
be conclusive evidence of the due and proper appointment of the member
named therein.

The purpose of the Fort Dix Area Joint Meeting shall be (1)
to stimulate the regional economic development of the Townships of
New Hanover and Plumsted, (2) to facilitate the transfer of operations
of existing entities from a military to a public or private civilian
use, (3) to revitalize a regional area that was formerly controlled
by military operations, (4) to undertake public improvements in the
area, (5) to oversee, prevent and protect against the creation of
blighted areas caused by the vacation of property, (6) to plan for
the revitalization of an area to insure the proper use of air, light
and open space so as to protect the health, safety and welfare of
the citizens of the community, (7) to maintain taxable values of the
properties in the region, (8) to acquire, develop, redevelop, hold,
or dispose of real and personal property, in such a manner as it becomes
available for economically and socially sound development by private
or public enterprise, or by a combination of both, (9) to facilitate
the clearance, replanning, development and redevelopment and the rehabilitation
of any improvements, the construction and the provision for construction
of residential, commercial, industrial, public or other structures
and the grant or dedication of spaces as may be appropriate or necessary
in the interest of the general welfare for streets, parks, playgrounds,
or other public purposes including recreational and other facilities,
both public and private or a combination of both, (10) to provide
for adequate municipal facilities, utilities and infrastructure, to
provide and enhance economic growth in the region, (11) to provide
for safe living conditions in the area by affording adequate police,
fire, first aid, and municipal services, as well as recreation, (12)
to protect the environmental well being of the area by developing
facilities to protect and preserve the area's air, water, soil,
and wildlife.
The Management Committee shall cause an annual audit of its
accounts to be made, and for this purpose, it shall employ a registered
municipal accountant of New Jersey or a certified public accountant
of New Jersey. The audit shall be completed and filed with the Management
Committee within four (4) months after the close of the fiscal year
of the Joint Meeting.

Nothing herein contained shall be construed as limiting or restricting
any of the powers and duties conferred upon municipal joint meetings
created pursuant to the aforesaid act and the Fort Dix Area Joint
Meeting shall enjoy all of the statutory powers and duties as specifically
set forth in N.J.S.A. 40:48B-1 et seq., and as the same may be amended
and supplemented.
