Division 2 Executive Board

There is hereby established a Department of Economic Development of the City, which shall be responsible for the development and administration of programs and projects designed to: aid existing business and industry to remain and become competitive and to expand; and to recruit new business and industry in order to retain and create quality employment opportunities, improve and stabilize the economic climate and support economic growth for the benefit of the citizens of the City.

The Department shall be an integral part of the City of Sikeston. The Director of Economic Development shall report directly to the City Manager in all matters involving Departmental activity and operations. The City shall administer and provide audit for the Department's budget as established by the Executive Board. The City Manager shall make routine reports to the Executive Board, relay and implement Board direction and oversee day-to-day operations of the Department. The Director may interface directly with the Board on any matter he/she deems appropriate and shall interface with the Board upon their request.

The City Manager may establish policy and procedure in support of the mission, goals and objectives of the Department as set forth by the Executive Board. These policies and procedures may include, but are not necessarily limited to, work hours and routines, purchasing and procurement and like professional, contractual and maintenance and operation items. These policies and procedures shall, to the degree feasible, be consistent with those as established for all City departments and shall not be in conflict with Executive Board direction. The Director shall serve at the pleasure of the City Manager with the advice and consent of the Executive Board. All other departmental personnel receiving compensation from the Department's budget shall serve at the pleasure of the City Manager as may be recommended by the Director.

The City and the Board of Municipal Utilities shall participate jointly in the funding of the Department. Annual funding levels shall be established by the Board and approved by the City Council and the Board of Municipal Utilities. Final approval of participation levels and total funding are to be concurrent with the City's budget preparation annually. Donations, gifts or grant services may be incorporated into any single year funding (revenue) source, provided any such may only be appropriated in accordance with the requirement of the source and the purpose(s) for which such funding was received.

There is hereby established the Executive Board of the Department of Economic Development, which shall have exclusive jurisdiction over the operation, management, policies and procedures of the Department. The Board shall operate except as otherwise provided in this Chapter, both the Department and Board shall be free from jurisdiction, direction and control of other City Officers, boards or City Council.

The Board shall consist of six (6) voting members, being: the Mayor or his/her designee from the City Council, the Mayor Pro Tem or his/her designee appointed from the City Council, a member of the City Council or his/her designee appointed from the City Council, the Chairman of the Board of Municipal Utilities or his/her designee from the Board of Municipal Utilities, the Vice Chairman of the Board of Municipal Utilities or his/her designee from the Board of Municipal Utilities and the Director of Municipal Utilities. The Board shall also consist of the City Manager and the President of the Sikeston Area Chamber of Commerce, both of whom shall be non-voting ex-officio members.

The Mayor Pro Tem or his/her designee and the member of the City Council or his/her designee shall be appointed annually by the City Council from among its members.
The appointment and tenure of the Mayor or his/her designee, the Chairman of the Board of Municipal Utilities or his/her designee and the Vice Chairman of the Board of Municipal Utilities or his/her designee shall be concurrent with the effective dates they occupy said positions.

Each Board member shall serve without additional compensation, other than that which is provided by their position they otherwise occupy or set forth in Section 130.680 hereinabove. Board members may be reimbursed for expenses they incur in carrying out their duties, other than those they incurred by participation in Board meetings, within the City.

Each member of the Executive Board shall have one (1) vote on any question, provided no conflict of interest exists. A quorum of the Board shall consist of four (4) members. A majority vote of all Board members, when a quorum of members is present, shall decide any question(s). When a conflict of interest may exist, the member(s) abstaining shall be counted toward the establishment of the quorum.
The Board shall establish their regular meeting schedule, but may amend same, as may be needed, to support the needs of the Department. Special meetings may be called by the Chair or a majority of the Board members.
The Mayor shall serve as the Chairman of the Board and the Chairman of the Board of Municipal Utilities shall serve as the Vice Chairman for the purpose of conducting Board meetings.

The Board may establish policies and procedures for and participate in the appointment and termination of the Director. They shall provide advice and consent to the City Manager concerning appointment and termination and may by majority vote override any contemplated action of the City Manager they may feel unwarranted or inappropriate concerning appointment or termination of the Director's employment.

The Board shall approve the Department's annual budget; establish rules, regulations, policies and procedures for the Department operations; set and/or approve goals and objectives; review and evaluate programs and projects; and any other like items which may be required pursuant to the effective and efficient operation of the Department.

The Board shall have all the authority and responsibility of an agent of City Government. For purposes of legal issues, the Department shall be considered a unit of the City. Should legal counsel be required, the City and the Board of Utilities attorneys shall, through cooperative effort, provide such counsel to the Executive Board of the Department. Appropriate insurance(s) shall be provided to the Department by the City.
Board Member insurance shall be extended by either the City or Board of Utilities, as may be appropriate, for their participation in the Executive Board.
