[HISTORY: Adopted by the Mayor and Council of the Town of Secaucus 3-14-78 as Ord. No. 78-4. Amended in its entirety 4-9-91 by Ord. No. 91-16. Other amendments noted where applicable.]
Pursuant to the Municipal Utilities Authorities Law (N.J.S.A. 40:14B-1, et seq.) there is hereby created a public body corporate and politic as an agency and instrumentality of the Town of Secaucus, County of Hudson, New Jersey, under the name and style of the "Secaucus Municipal Utilities Authority."
The Secaucus Municipal Utilities Authority hereby created is a utilities authority as contemplated and provided for by the Municipal Utilities Authorities Law and shall have and exercise all of the powers and perform all of the duties provided for by the Municipal Utilities Authorities Law and any other statutes heretofore enacted and applicable thereto and all amendments and supplements thereto hereafter enacted.
A.
The Secaucus Municipal Utilities Authority shall consist of five members who are residents of the Town of Secaucus and who shall be appointed in the manner provided for by law.
The Secaucus Municipal Utilities Authority also shall consist of two alternate members, "Alternate No. 1" and "Alternate No. 2," who shall serve during the absence of any regular member or members. Alternates shall be appointed as provided for by law. The appointments shall provide the order in which the alternates shall serve. The term for each alternate member shall be five years commencing on February 1 of the year of appointment; provided, however, that in the event two alternate members are appointed, their initial terms shall be four and five years respectively. The terms of the first alternate members appointed pursuant to this amendatory act shall commence on the day of their appointment and shall expire on the fourth or fifth January 31 next ensuing after the date of their appointments, as the case may be. Alternate members may participate in discussions of the proceedings but may not vote except in the absence or disqualification of a regular member. A vote shall not be delayed in order that a regular member may vote instead of an alternate member.
B.
The members first appointed shall, by resolution of appointment, be designated to serve for terms respectively expiring on the first days of the first, second, third, fourth and fifth Februaries next ensuing after the date of their appointment. On or after January 1 in each year after such first appointments, one person shall be appointed as a member of the Secaucus Municipal Utilities Authority to serve for a term commencing on February 1 in such year and expiring on February 1 in the fifth year after such year.
C.
In the event that a vacancy in the membership of the Secaucus Municipal Utilities Authority occurs during the unexpired term of office, a person shall be appointed as a member of the Secaucus Municipal Utilities Authority to serve for such unexpired term.
Following final passage of this ordinance, a copy hereof duly certified by the Town Clerk shall be filed forthwith by said Town Clerk in the office of the Secretary of State of the State of New Jersey.
