There is created hereby pursuant to the provisions of C.G.S.
§§ 7-130a to 7-130x, inclusive and as amended (the
"Act"), the Maritime Aquarium at Norwalk Authority.
The purpose of the Authority shall be to develop or to assist
in the development by one or more public or private entities of a
maritime center located in proximity to the waterfront areas of the
city, which will have one or more of the following features: an aquarium,
museum facilities, educational facilities, auditorium, restaurant
facilities, library facilities, nautical and maritime craft facilities,
support facilities, including parking and garaging facilities, and
other similar features and, in aid thereof, to exercise the powers
set forth in the Act.
The Articles of Incorporation of the Authority are as follows:
A. Article I. The name of the Authority is the Maritime Aquarium at
Norwalk Authority.

B. Article II. The Authority is created under C.G.S. §§ 7-130a
to 7-130x, inclusive.
C. Article III. The City of Norwalk shall be the sole participating
municipality.
D. Article IV. The first members of the Authority and their terms shall
be as follows.
E. Article V. The purpose of the Authority shall be to develop or to
assist in the development by one or more public or private entities
of a maritime center located in proximity to the waterfront areas
of the city, which will have one or more of the following features:
an aquarium, museum facilities, educational facilities, auditorium,
restaurant facilities, library facilities, nautical and maritime craft
facilities, support facilities, including parking and garaging facilities,
and other similar features and, in aid thereof, to exercise the powers
set forth in the Act.
The term of existence of the Authority shall be until the later
to occur of the following:
A. The abolishment of the Authority by subsequent ordinance of the Common
Council; and
B. The extinguishment of all obligations of the Authority, including,
without limitation, the retirement of all outstanding indebtedness
of the Authority.
The Authority shall be a public body politic and corporate of
the state.
The powers of the Authority shall be exercised by a Commission of nine members, which shall consist of the Mayor, two current members of the Common Council, two current or former members of the Common Council and four additional members. The Mayor and the Common Council members shall serve for two-year terms concurrently with the terms of office of the Mayor and appointing Council. The additional four members shall serve for five-year terms from the date of their appointments with the exception of the members listed in §
70-3, whose terms shall expire as provided in said section. Appointments to the Commission, except for the position held by the Mayor, shall be made by a majority vote of the membership of the Common Council. Vacancies occurring for any reason during the terms of office shall be filled in the same manner as regular appointments.
The Commission shall annually elect one of its members as Chairman
and shall elect one of its members as Vice Chairman. The Commission
may also appoint an Executive Director (who shall not be a member
of the Commission), who shall serve at the pleasure of the Commission
and have such duties and receive such compensation as shall be fixed
by the Commission.
On or before the first day of April in each year, the Director
of Finance of the City of Norwalk should submit to the Authority a
recommended annual budget for the Authority. The Authority shall adopt
an annual budget on or before the first day of June in each year for
the ensuing fiscal year commencing July 1 and ending June 30.
