The Borough Council hereby signifies its intention and desire to organize an Authority under the provisions of the "Municipality Authorities Act of 1945."[1]

The Mayor, the President of the Borough Council and the Secretary are hereby authorized and directed to execute, on behalf of the Borough of Clearfield, Articles of Incorporation for the said Authority, in substantially the following form:
Articles of Incorporation
To the Secretary of the Commonwealth, Commonwealth of Pennsylvania:
In compliance with the requirements of the Act No. 164 approved May 2, 1945, known as the "Municipality Authorities Act of 1945," the Borough of Clearfield, Clearfield County, Pennsylvania, desiring to incorporate an Authority thereunder, does hereby certify:
A.
The name of the Authority is Clearfield Borough Authority.
B.
Said Authority is formed under the provisions of the Act No. 164 approved May 2, 1945, and known and cited as the Municipality Authorities Act of 1945.
C.
No other Authority organized under said Act No. 164 of May 2, 1945, or under the Act of June 28, 1935 (P.L. 643) as amended or under the Act of December 28, 1933 (Special Session, 1933, P.L. 114) is in existence in or for the incorporating municipality, the Borough of Clearfield.
D.
The name of the incorporating municipality is Borough of Clearfield, Clearfield County, Pennsylvania, and the names and addresses of its municipal authorities are as follows:

Be it remembered that on this 6th day of July 1945, before me, a Notary Public in and for the county aforesaid, personally appeared Robert H. Lucas, Burgess, Harold D. Woolridge, President of Council and Roy C. Kindig, Secretary of the Borough of Clearfield, the corporation named in and which executed the foregoing Articles of Incorporation, who, being duly sworn, did depose and say that they were personally present at the execution of the foregoing Articles of Incorporation and saw the common or corporate seal of the Borough of Clearfield affixed thereto; that the seal affixed thereto is the common or corporate seal of said Borough; that the foregoing Articles of Incorporation were duly signed, sealed and delivered by, and as and for the act and deed of the said Borough, by the authority and at the direction of the Borough Council, pursuant to an ordinance duly enacted the second day of July 1945 and that the names of Robert H. Lucas, as Burgess, and of Harold D. Woolridge, as President of Council, and of Roy C. Kindig, as Secretary, subscribed thereto are in their proper and respective handwriting.

The proper officers of the Borough are hereby directed to cause a notice of this ordinance to be published one time in a newspaper published and of general circulation in the County of Clearfield as directed by the said Act No. 164 approved May 2, 1945, and known as the "Municipality Authorities Act of 1945."[1]

The Mayor, President of Council and the Secretary are directed to file said Articles of Incorporation, together with the necessary proofs of publication, with the Secretary of the Commonwealth, and to do all other acts and things necessary or appropriate to effect the incorporation of the Clearfield Borough Authority.
The project which shall first be undertaken by the said Authority is: to acquire, hold, construct, improve, maintain, operate, own, lease, either as lessor or as lessee, waterworks, water-supply works and water-distribution systems for the Borough of Clearfield and for such other territory as it may lawfully serve.
All other ordinances and parts of ordinances, resolutions and parts of resolutions inconsistent herewith be and the same are hereby expressly repealed.
