A. There
is hereby established a Utility Advisory Board ("Board") which shall
consist of five (5) members appointed by the Mayor with the approval
of the Board of Aldermen. The Board shall also include one (1) advisory,
non-voting "liaison" member who shall be a member of the City's Board
of Aldermen. No other City Official or member of City Government shall
be a member of the Board.
B. The
Mayor and Board of Aldermen shall make every reasonable effort to
appoint persons to the Board who have, by training, experience or
activity, demonstrated an interest or a competence in utilities, engineering,
management or another discipline such that their advice on utility
matters will be beneficial to the Board of Aldermen.
C. To
qualify as a Board member, a person must be a resident of the City
of Hermann or be a customer of any City utility or be employed by
a business that is a customer of any City utility.
D. All
Board members shall serve without compensation.
E. The
Mayor may, with the consent of the Board of Aldermen, remove any Board
member for misconduct or neglect of duty.
F. Any
Board member who misses more than three (3) regular meetings in any
twelve (12) consecutive month period without being excused by the
Board shall automatically forfeit their membership on the Board. The
Board's Secretary shall be responsible for promptly notifying the
Board of Aldermen of such situation.

Two (2) of the initial Board members shall hold office for one
(1) year, two (2) of the initial Board members shall hold office for
two (2) years and one (1) of the initial Board members shall hold
office for three (3) years. The initial members' terms shall commence
on May 1, 2010. Then, on May first (1st) of each year thereafter,
the Mayor and Board of Aldermen shall appoint persons to fill the
positions of Board members whose terms have expired. Such persons
shall hold office for three (3) years or until their successors are
appointed.

A vacancy on the Board resulting from removal of a Board member,
forfeit, resignation or otherwise shall be reported to the Mayor who
shall then, with the approval of the Board of Aldermen, appoint a
successor to complete the remaining term of the departed member.

A. The
Board shall elect one (1) member as Chairman, another member as Vice
Chairman and another member as Secretary. The Board may elect such
other officers as it considers necessary. Each officer so elected
shall serve a term of one (1) year and shall be eligible for re-election.
B. The
Chairman shall preside over the meetings and shall be responsible
for preparing an agenda in cooperation with the Public Works Director.
In the absence of the Chairman, the Vice Chairman shall perform the
duties of the Chairman. If both are absent, a temporary Chairman shall
be elected by those present.
C. The
Secretary to the Utility Advisory Board shall have the following duties:
1. Take minutes of each Utility Advisory Board meeting;
2. Distribute copies of the minutes, reports and decisions of the Board
to the Board members and the Board of Aldermen;
3. Give notice as provided by law for all public hearings conducted
by the Board;
4. Advise the Mayor of vacancies on the Board and expiring terms of
members; and
5. Prepare and submit to the Board of Aldermen a complete record of
the proceedings before the Board on any matter requiring Board consideration.

A. The
Board shall hold regular meetings one (1) time every three (3) months
on a certain date, as determined by the Board, in the Board of Aldermen’s
meeting room at Hermann City Hall or at such other times and places
as the Chairman may consider appropriate. Public notice shall be given
before each meeting as required by law.

B. A quorum
shall consist of a majority of the number of members currently appointed
to the Board.
C. Affirmative
concurrence by a majority of the Board members present at any duly
constituted meeting of the Board shall carry a motion.
D. The
Board shall adopt rules for the conduct of its meetings.

A. The
Board's duties and responsibilities shall include, but not necessarily
be limited to, the following activities:
1. Prepare and adopt such bylaws, rules and regulations for government
of the Board which shall not be inconsistent with any ordinances of
the City of Hermann.
2. Review existing rate structures and capital improvement programs
for the various City sewer, water, gas and electric utilities.
3. Act in an advisory capacity to the Board of Aldermen with respect
to enactment of future utility rate structures and capital programs.
4. Promote public knowledge, understanding, acceptance and support of
utility programs.
5. Make studies, surveys and investigations regarding utilities to provide
a foundation of research and facts for the Board of Aldermen.
6. Provide advice and counsel to the Public Works Director and the Board
on all matters pertaining to the operation of the water and sewer
system, gas system, electric system and, to that end, to assist the
City in insuring that the consuming public is provided with the best
possible service consistent with good management and cost.
7. Consider annual budgets for utility departments and make budget recommendations
for the efficient and economical operation of the City's utility systems.
8. Study and make recommendations for long-range planning for proper
expansion to meet future needs in the systems.
9. Study and make recommendations on general utility matters such as,
but not limited to, rates, bond issues, fiscal matters, personnel
staffing, labor relations, expansions or extensions of service, public
relations; and, generally, have a full and complete surveillance of
all of the systems in the City of Hermann utilities and their operations
and fiscal affairs on behalf of the Board of Aldermen including the
maintenance, operation, expansion, extension and improvement thereof,
and to perform such other duties as may be from time to time hereafter
delegated to it by the Board of Aldermen, provided that the Board
of Aldermen shall reserve specifically to itself approval of all budgets,
rates, capital improvement expenditures, acquisition or disposal of
property and indebtedness of all kinds.
